Project Services Agreement

If you and the Company enter into an independent project relationship, then this Independent Project Services Agreement (the “Agreement”) will apply. This Agreement describes the terms and conditions under which you will be employed to provide certain professional services to the Company’s customers (“Customers”). The work you are to perform is generally defined in the applicable Job Assignment and will be effective the first day you accept it (the “Effective Date”).

Please read this agreement carefully. We may modify this agreement and you are responsible for reviewing and becoming familiar with any modifications. The modified version of this agreement will posted online and become effective thirty (30) days after we have posted the modified agreement. Your use of this site and/or continued providing of services following that period constitutes your acceptance of the terms and conditions of this agreement, as modified. If you do not agree with the modifications, you are not authorized to use our site. This agreement incorporates all terms, conditions, policies, and guidelines on the site, including the contractor code of conduct and privacy policy.

Terms and Termination for Project Services

The agreement commences on the effective date and will remain in effect until the project is terminated. This agreement may be terminated by our company on written notice at any time provided no job assignment is in effect.

Each project commences on the effective date described in the applicable job assignment and will remain in effect until (i) the expiration date described in the project assignment, (ii) the work authorised there under is completed, as determined solely by the customer, or (iii) is earlier terminated. Unless otherwise stated in the Project Assignment, any Project Assignment may be terminated prior to completion by our Company or the Customer without cause at any time upon written notice. Upon completion, termination, or expiration of a Job Assignment, you will deliver to the Customer all copies of all deliverables in their then current form or state, whether complete or incomplete. You will be paid for all accepted services performed prior to any such termination.

Fees and Payment

If a timesheet is required in the Project Assignment, you will ensure that you complete a timesheet for each day you provide the Services. Sometimes we may require that an invoice accompany each timesheet. Payments will be scheduled in the frequency indicated in the Project Assignment. You acknowledge that we may designate a third- party to process any payments to you under this Agreement.Our Company will NOT reimburse you for any taxes or levies (be it, sales, VAT, excise, or any other tax) which you are required to collect or remit to applicable tax authorities. You are solely responsible for all such taxes.

Confidentiality

You agree to sign an NDA and keep confidential all deliverables and all technical, product, business, financial, and other information regarding the business of our Company, its affiliates, customers, employees, investors, contractors, vendors and suppliers (the “Confidential Information”), including but not limited to programming techniques and methods, research and development, computer programs, documentation, marketing plans, customer identity, and business methods. Confidential Information includes all information and materials disclosed orally or in any other form.

Customer Agreements

In connection with Project Assignments, Customer’s may modify this Agreement with contracts that require your acceptance prior to performing the Services. The contracts may include Proprietary Information Agreements (assigning intellectual property to the Customer similarly to that in this Agreement), codes of conduct, data protection agreements, and other policies (the “Customer Agreements”). You must review any and all Customer Agreements provided to you. If your refusal makes you ineligible for a Project Assignment (as solely determined by Customer), your Project Assignment will be cancelled, and you will be free to apply for another Project Assignment.

General Terms and Conditions

The Project Agreement and any of your obligations may not be assigned, subcontracted, delegated or otherwise transferred by you without our prior written consent. Any attempt to assign, subcontract, delegate, or transfer by you in violation of this Section will be null and void.

We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. These works are protected by our trademark and copyright laws around the world. All such rights are reserved.

Our status (and that of any identified contributors) as the authors of material on our site must always be acknowledged. You must not use any part of the materials on our site for commercial purposes without obtaining a licence to do so from us or our licensors.

Our liability

Our site changes regularly and we aim to update our site regularly and may change the content at any time. The information displayed on our site is provided without any guarantees, conditions or warranties, including any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it, including, without limitation any liability for loss of income or revenue and loss of data.

Cyber Attacks

You must not misuse our site by knowingly introducing viruses, trojan or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. In the event of such a breach, you would commit a criminal offence and will report any such breach to the relevant law enforcement authorities.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

Force Majeure

None of the Parties (Company or Customer) shall be responsible or liable for any delay or failure to perform its obligations (other than an obligation to make payment) under this Agreement due to unforeseen circumstances or any event which is beyond that Party’s reasonable control and without its fault or negligence, but not limited to, acts of God, war, riots, embargoes, strikes, lockouts, acts of any Government authority, delays in obtaining licenses or rejection of applications under the Statutes, failure of telephone connections or power failure, fire or floods.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applicable to the Emirate of Dubai and will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country. These terms of use and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of UAE.
